Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, membership programs, courses, workshops, coaching services, community spaces, live calls, and other services provided by Highland Horizon LLC, doing business as Serenity Flywheel (“Highland Horizon,” “Serenity Flywheel,” “we,” “us,” or “our”).

By purchasing, accessing, or participating in any Serenity Flywheel service, membership, course, workshop, community, or other offering, or by using our website, you agree to these Terms. If you do not agree to these Terms, please do not use our services.

1. Our Services

Serenity Flywheel provides money coaching and financial education designed to help participants develop greater awareness, clarity, organization, and confidence in their relationship with money.

Our services may include, among other things:

  • membership programs;

  • online courses and educational materials;

  • workshops and educational events;

  • live group coaching calls;

  • worksheets, exercises, templates, and other resources;

  • private online communities; and

  • emails, communications, and other educational content.

We may modify, update, add, or discontinue portions of our services from time to time.

Nothing in these Terms guarantees that any particular service, feature, instructor, call, community activity, or other component will remain available for any particular period.

2. Eligibility

Our services are intended for adults who are at least 18 years old.

By using our services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Coaching and Educational Disclaimer

Serenity Flywheel provides coaching and education, not individualized professional advice.

Serenity Flywheel does not provide individualized investment, securities, financial-planning, tax, accounting, legal, or other professional advice.

Information provided through Serenity Flywheel programs, workshops, courses, emails, worksheets, live calls, community discussions, and other materials is provided for general educational and informational purposes.

Your financial circumstances are unique. You are responsible for evaluating your own circumstances and decisions and, when appropriate, consulting a qualified financial, investment, tax, accounting, legal, or other professional before making decisions that could materially affect your finances.

Participation in Serenity Flywheel does not create a fiduciary, financial-advisor, investment-advisor, attorney-client, accountant-client, or other professional relationship between you and Highland Horizon LLC.

We do not guarantee any particular financial outcome, savings amount, investment return, debt reduction, income level, or other result from participating in Serenity Flywheel.

Any examples, case studies, testimonials, or discussions of financial outcomes are provided for illustrative purposes and should not be understood as a promise or representation that you will achieve the same result.

You remain responsible for your own financial decisions and actions.

4. Memberships, Billing, and Subscriptions

If you purchase a recurring subscription to Serenity Flywheel, you are subscribing to an automatically renewing membership requiring recurring payments at the stated frequency (monthly or annually), as applicable.

Your subscription will continue to renew at the applicable rate and billing frequency until you cancel it.

There is no required minimum subscription term unless otherwise stated at the time of purchase.

You may cancel your membership by sending a cancellation request by email to [email protected] at least three (3) days before your next scheduled billing date.

Cancellation requests received fewer than three (3) days before a scheduled billing date may not take effect until the following billing cycle.

When you cancel, your membership will remain active and you will continue to have access to the Serenity Flywheel membership, course materials, community, and other membership benefits through the end of the billing period for which you have already paid. Your subscription will not renew after that billing period.

There will be no refunds or credits for partial months or partial billing periods following cancellation.

The applicable price, billing frequency, renewal terms, and cancellation procedure will be disclosed at or before the time of purchase.

Nothing in this section limits any refund rights or other rights that cannot lawfully be waived under applicable law.

5. Workshops and Events

Workshops, live events, and other special programs may have additional terms, registration requirements, attendance requirements, or cancellation policies that are disclosed at registration or purchase.

Unless otherwise stated, registration for an event does not guarantee that a recording, replay, bonus material, or other post-event resource will be provided.

We may modify or reschedule an event when reasonably necessary, including because of circumstances beyond our control.

6. Community Participation

Some Serenity Flywheel services may include access to private online communities, including Facebook groups or other third-party platforms.

These communities are intended to provide a supportive, respectful, educational environment where members can learn, participate, ask questions, and interact with one another.

Your participation in any community is subject to these Terms, any additional community guidelines we provide, and the applicable terms, policies, and standards of the third-party platform hosting the community.

You agree to conduct yourself in a manner that supports a safe, respectful, and constructive community.

Community Conduct

You agree not to:

  • harass, threaten, bully, intimidate, stalk, or abuse another member;

  • engage in hateful, discriminatory, degrading, or demeaning conduct;

  • make personal attacks or deliberately shame or humiliate another member;

  • discriminate against or target another person based on characteristics protected by applicable law;

  • impersonate another person or falsely represent your affiliation with Highland Horizon, Serenity Flywheel, another member, or another organization;

  • share another member's personal, financial, contact, employment, family, or other identifying information without that person's permission;

  • screenshot, copy, record, reproduce, or redistribute another member's posts, comments, stories, or other contributions outside the community without permission;

  • use information obtained through the community to solicit, market to, recruit, or sell to another member without authorization;

  • post unsolicited advertising, promotional material, affiliate links, fundraising requests, or other commercial solicitations;

  • use the community to promote competing coaching, consulting, financial, investment, or other services without our prior written permission;

  • provide fraudulent, deceptive, or intentionally misleading information;

  • post or transmit unlawful, defamatory, obscene, threatening, or otherwise prohibited material;

  • post content that infringes another person's intellectual property, privacy, publicity, or other legal rights;

  • disclose confidential information belonging to another person or organization;

  • attempt to obtain unauthorized access to another member's account or information;

  • interfere with the operation or security of the community or the platform hosting it;

  • use the community to conduct unlawful activity; or

  • engage in conduct that materially interferes with other members' ability to participate safely and meaningfully.

You also agree to comply with applicable Meta terms, policies, and community standards when participating in a Serenity Flywheel community hosted on Facebook or another Meta platform.

We reserve the right, in our reasonable discretion, to remove content, restrict participation, remove a member from a community, suspend access, or terminate a membership when we believe such action is necessary to protect members, the community, Highland Horizon, or the integrity of the program.

7. Live Calls and Confidentiality

Serenity Flywheel live calls may involve personal, financial, professional, family, or other sensitive information.

We intend for live calls to be respectful spaces where members can participate without fear that their personal stories or information will be shared outside the community.

By participating in a live call, you agree:

  • not to record, photograph, screenshot, reproduce, transcribe, or redistribute a live call or any portion of it without our prior permission;

  • not to record, screenshot, photograph, reproduce, or redistribute another participant's contribution without that participant's permission;

  • not to share another participant's name, identity, story, financial circumstances, personal circumstances, or other identifying information outside the Serenity Flywheel community;

  • not to use information learned during a live call to solicit, market to, recruit, or otherwise exploit another participant;

  • to respect reasonable requests from another participant regarding their privacy; and

  • to participate in a manner consistent with these Terms and any live-call guidelines we provide.

You should share only information that you are comfortable sharing in an online group environment.

Although Highland Horizon will take reasonable steps to foster a private and respectful environment, no online community, live call, electronic communication, or third-party platform can be guaranteed to be completely confidential or secure.

You acknowledge that other participants may be able to access information you voluntarily share during a live call or within a community.

We may remove a participant from a live call or restrict future participation if we determine that the participant's conduct is inconsistent with these Terms or materially threatens the safety, privacy, or integrity of the group.

8. Respect for Member Stories and Experiences

Serenity Flywheel may involve participants sharing personal experiences involving money, relationships, family, business, employment, debt, spending, income, or other sensitive subjects.

A participant's experience belongs to that participant.

You may discuss your own experiences outside the community, but you agree not to identify, describe, quote, reproduce, or otherwise disclose another member's story or personal circumstances without that member's permission.

You also agree not to treat another member's experience, opinion, strategy, or statement as professional financial, investment, tax, legal, or other professional advice.

9. User Conduct Generally

In addition to the community-specific rules above, you agree not to use our website, membership, courses, services, or communications to:

  • violate any applicable law or regulation;

  • infringe any person's intellectual property or other rights;

  • introduce malicious code, viruses, or other harmful technology;

  • interfere with or disrupt our website, services, servers, networks, or security;

  • attempt to gain unauthorized access to any account, system, or information;

  • scrape, harvest, collect, or misuse personal information belonging to other users;

  • engage in fraud, deception, or impersonation;

  • distribute spam or unauthorized commercial communications;

  • use our services for purposes that are inconsistent with their intended educational or community purpose; or

  • assist another person in doing any of the foregoing.

10. Account and Access Information

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You agree not to share your membership login credentials with another person or allow another person to access your membership or course materials through your account.

You must promptly notify us if you believe your account credentials have been compromised or used without authorization.

We may suspend or terminate access to an account that is shared, transferred, misused, or otherwise operated in violation of these Terms.

11. Intellectual Property

Unless otherwise stated, the Serenity Flywheel name, branding, website, course materials, videos, recordings, worksheets, templates, exercises, written materials, graphics, presentations, frameworks, curriculum, and other materials provided by Highland Horizon LLC are owned by Highland Horizon LLC or its licensors and are protected by applicable intellectual-property laws.

Your membership or purchase gives you a limited, personal, non-exclusive, non-transferable license to access and use these materials for your own personal, non-commercial educational purposes during the period for which you have authorized access.

You may not, without our prior written permission:

  • copy, reproduce, republish, distribute, sell, license, or commercially exploit our materials;

  • upload our materials to another website, course platform, file-sharing service, or public forum;

  • use our materials to create or market a competing program;

  • remove copyright, trademark, or other proprietary notices;

  • share your membership or course access with another person; or

  • record or redistribute paid courses, live calls, or other proprietary program content.

You may download or print materials where we expressly provide a download or printing option for your personal use.

12. Your Content, Feedback, and Contributions

You retain ownership of original content that you independently create and voluntarily submit to us or share through our services, subject to the rights you may separately grant us.

When you submit feedback, suggestions, questions, ideas, or other non-confidential feedback about Serenity Flywheel, you grant Highland Horizon a non-exclusive, royalty-free right to use that feedback to improve or develop our services.

We will not treat personal stories or confidential information shared in the private community or live calls as a general-purpose license for public marketing.

If we would like to use your testimonial, photograph, name, story, or other identifiable personal experience in marketing or advertising, we will obtain appropriate permission before doing so.

Any testimonial or endorsement used by Highland Horizon should reflect the person's honest experience and should not be understood as a guarantee of typical or expected results. Applicable advertising and endorsement laws may impose additional requirements.

13. Third-Party Platforms and Services

Some portions of Serenity Flywheel may rely on third-party services, platforms, applications, or websites, including but not limited to Facebook, Meta, Zoom, Google, payment processors, email providers, hosting providers, and other technology providers.

Your use of those third-party services may be subject to their own terms, policies, and privacy practices.

We are not responsible for the independent acts, omissions, policies, security practices, availability, or content of third-party platforms.

If a third-party service becomes unavailable or changes its functionality, we may need to modify or replace the corresponding feature of our services.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Your use of our services is subject to both these Terms and our Privacy Policy.

15. Suspension and Termination

We may suspend or terminate your access to some or all of our services if:

  • you materially violate these Terms;

  • you engage in conduct that threatens the safety, privacy, or well-being of other participants;

  • you misuse or redistribute our intellectual property;

  • you share account credentials;

  • you engage in fraud or unlawful conduct;

  • your payment obligations are not satisfied; or

  • we reasonably determine that termination is necessary to protect Highland Horizon, Serenity Flywheel, our community, or another person.

If your membership is terminated because of your violation of these Terms, you may lose access to the membership, community, course materials, and other services without a refund, to the extent permitted by applicable law.

Termination does not eliminate obligations that by their nature should survive termination, including provisions concerning intellectual property, confidentiality, limitations of liability, dispute resolution, and other applicable provisions.

16. No Guarantee of Results

We make no guarantee regarding the results you may achieve through Serenity Flywheel.

Individual results depend on many factors, including your circumstances, decisions, actions, resources, and conditions outside our control.

Statements about possible outcomes are not guarantees or promises of future results.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, our website and services are provided on an “as is” and “as available” basis.

We do not warrant that our website or services will always be available, uninterrupted, secure, error-free, or free of harmful components.

We do not warrant that the information provided through our services will be complete, current, or appropriate for every person's circumstances.

Nothing in these Terms excludes any warranty or right that cannot legally be excluded.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Highland Horizon LLC and its owners, officers, employees, contractors, agents, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of our website or services.

To the fullest extent permitted by applicable law, our total liability arising from or related to your use of the services will not exceed the amount you paid to Highland Horizon LLC for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

19. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Highland Horizon LLC and its owners, officers, employees, contractors, agents, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your material violation of these Terms;

  • your unlawful conduct;

  • your infringement of another person's rights; or

  • your misuse of our website or services.

This provision does not require you to indemnify Highland Horizon for Highland Horizon's own conduct to the extent such indemnification is prohibited by applicable law.

20. Dispute Resolution and Governing Law

Informal Resolution First. Before initiating arbitration or a court proceeding concerning any dispute arising out of or relating to these Terms, Serenity Flywheel, your membership, or your use of our services, you agree to first contact Highland Horizon LLC at [email protected] and give us a reasonable opportunity to resolve the dispute informally. You and Highland Horizon agree to make a good-faith effort to resolve the dispute before proceeding to arbitration or litigation, except where immediate legal action is reasonably necessary to protect intellectual property, confidential information, personal safety, or other rights that may be harmed by delay.

Agreement to Arbitrate. Except as expressly provided below, you and Highland Horizon LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, your purchase or use of Serenity Flywheel, your membership, our services, or the relationship between you and Highland Horizon LLC will be resolved by final and binding arbitration rather than in court.

This agreement to arbitrate applies to claims based on contract, statute, regulation, tort, fraud, misrepresentation, or any other legal or equitable theory, and applies whether the claim arises before or after termination of your membership.

Exceptions. Either party may:

  1. bring an individual claim in a small claims court if the claim qualifies for that court and remains within that court's jurisdiction;

  2. seek temporary, preliminary, or other equitable relief from a court when reasonably necessary to protect intellectual property, confidential information, or other rights pending arbitration; or

  3. pursue any claim or remedy that applicable law does not permit to be subject to arbitration.

The availability of a small claims option does not prevent either party from requesting arbitration where permitted by applicable law and the applicable arbitration rules.

Arbitration Administrator and Rules. Unless you and Highland Horizon agree otherwise in writing, arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The AAA's Consumer Arbitration Rules govern the arbitration to the extent they are not inconsistent with these Terms or applicable law.

Location and Format. Unless the parties agree otherwise, arbitration will be conducted remotely by video conference, telephone, or other electronic means. If an in-person hearing is required, the hearing will take place in Georgia at a location reasonably convenient for both parties, unless the arbitrator or applicable AAA rules require otherwise.

Arbitrator. The arbitration will be conducted by one neutral arbitrator selected in accordance with the applicable AAA Consumer Arbitration Rules. The arbitrator, and not a court, will have authority to determine the arbitrability of a dispute, including questions concerning the interpretation, applicability, enforceability, or formation of this arbitration provision, except that a court will determine any issue that applicable law requires the court to decide.

Individual Proceedings Only. To the fullest extent permitted by applicable law, arbitration will be conducted only on an individual basis. You and Highland Horizon each agree that neither party will participate in a class action, class-wide arbitration, representative action, collective action, or other proceeding in which either party acts or seeks to act on behalf of other persons.

If applicable law prohibits enforcement of this individual-arbitration requirement as to a particular claim or proceeding, that claim or proceeding will proceed only to the extent required by applicable law, and the remainder of this arbitration provision will remain in effect to the fullest extent permitted.

Authority of Arbitrator and Remedies. The arbitrator may award the same individual remedies that would be available to a court under applicable law, including monetary damages and injunctive or equitable relief where legally available. The arbitrator may not award relief to or against persons who are not parties to the arbitration and may not conduct a class, collective, or representative proceeding except to the extent applicable law requires otherwise.

Costs and Fees. Arbitration costs and fees will be allocated in accordance with the applicable AAA Consumer Arbitration Rules and applicable law. Nothing in these Terms is intended to require you to pay arbitration fees or costs that applicable law or the AAA Consumer Arbitration Rules require Highland Horizon to pay.

Confidentiality. The parties will request that the arbitration proceedings and related materials be treated as confidential to the extent permitted by applicable law and the applicable AAA rules. Nothing in this provision prevents either party from making disclosures required by law, pursuing enforcement or review of an arbitration award, or exercising rights that cannot lawfully be waived.

Governing Law. These Terms and any dispute arising out of or relating to these Terms or your relationship with Highland Horizon LLC will be governed by the laws of the State of Georgia, without regard to its conflict-of-law principles, except to the extent federal law or another applicable law requires otherwise. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, will govern the interpretation and enforcement of this arbitration agreement to the extent applicable.

Court Enforcement. Any court proceeding permitted under this Section, including a proceeding to compel arbitration, enforce an arbitration award, or obtain relief that is not subject to arbitration, may be brought in a court of competent jurisdiction in Georgia, unless applicable law requires otherwise.

Severability. If any portion of this arbitration provision is determined to be unenforceable, that portion will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in effect to the fullest extent permitted by law, except where applicable law requires the entire arbitration provision to be invalidated.

Nothing in this Section is intended to waive or limit any rights or remedies that cannot lawfully be waived or limited under applicable law.

21. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through our website, membership platform, email, or another reasonable method.

The updated Terms will become effective on the date stated in the updated Terms.

Your continued use of our services after the effective date of updated Terms constitutes your acceptance of the updated Terms to the extent permitted by law.

22. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.

23. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

24. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly incorporated into a particular product, service, membership, workshop, or purchase, constitute the agreement between you and Highland Horizon LLC concerning your use of the applicable services.

If there is a conflict between these Terms and a specific written agreement or purchase term applicable to a particular service, the specific agreement or purchase term will control to the extent of the conflict.
